By downloading, installing, accessing, or using the Xyon AI application ("App," "Service," or "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.
These Terms constitute a legally binding agreement between you and Xyon AI, Inc. ("Company," "we," "us," or "our"). We may update these Terms from time to time. Material changes will be posted within the App or on our website. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
Xyon AI is a multi-AI aggregation platform that provides unified access to third-party artificial intelligence services, including text, image, and video generation tools, along with related features such as conversation history, device synchronization, usage tracking, and settings management.
The Service functions as an interface layer only. We do not develop, train, or control the underlying AI models.
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms. The Service may not be available in all jurisdictions, and you are responsible for ensuring that your use complies with applicable laws.
Some features require account creation. You agree to provide accurate and complete information and to keep it updated.
You are responsible for safeguarding your credentials and for all activity that occurs under your account.
Email verification and device linking are optional features that enable cross-device access. Once verified, email and device links may be permanent unless removed through supported workflows.
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, abused the Service, or created legal or security risk.
Xyon AI offers Free, Basic, and Ultimate subscription tiers. Features, quotas, and limits are displayed in the App and may change over time.
"Unlimited" plans do not include fixed daily caps but remain subject to fair use, system capacity, third-party provider limits, and abuse prevention mechanisms.
Subscriptions renew automatically unless cancelled before the end of the billing period. Payments are processed via RevenueCat (mobile platforms) or Stripe (web and desktop platforms).
We may change pricing with reasonable advance notice. Changes take effect at the next billing cycle.
Refunds are governed by the applicable app store or payment processor and applicable consumer protection laws. We do not offer refunds for partial billing periods except as required by law or platform policy.
You may store your own API keys for supported AI providers. You are solely responsible for their use, associated charges, and compliance with third-party terms.
API keys are stored using secure, encrypted storage mechanisms on your device. We do not assume responsibility for misuse or compromise of user-provided keys.
Your use of third-party AI services is governed by their respective terms. Xyon AI is not responsible for the output, availability, policy changes, or actions of third-party providers.
You retain ownership of content you submit to the Service. You grant us a limited, non-exclusive, royalty-free license to process and transmit such content solely to provide the Service.
You represent that you have all necessary rights to submit your content and that it does not violate applicable laws or third-party rights.
AI-generated content is produced by third-party models and may be inaccurate, incomplete, misleading, or non-unique. AI-generated content is provided for informational and creative purposes only and must not be relied upon as professional advice.
You are solely responsible for reviewing and verifying AI-generated output before use.
Ownership and usage rights of AI-generated content are governed by the applicable third-party provider terms.
You agree not to use the Service to:
We reserve the right to restrict, block, or remove content or access at our discretion and to report illegal activity to law enforcement.
The Service, including its software, design, and branding, is owned by Xyon AI and protected by law. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms.
Feedback you provide may be used without obligation.
Our Privacy Policy governs our collection and use of personal data. We comply with applicable data protection laws, including GDPR where applicable.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted availability and may modify or discontinue features at any time.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XYON AI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) USD $100.
You agree to indemnify and hold harmless Xyon AI from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict of law principles.
You agree to attempt informal resolution for at least thirty (30) days before initiating formal proceedings.
Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted remotely in English.
You waive any right to participate in class or representative actions.
Either party may seek injunctive relief for intellectual property violations.
You may terminate your account at any time. Upon termination, your license ends. Sections 6, 8–16, and 18 survive termination.
These Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. We may assign these Terms freely. You may not assign without consent.
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, war, government action, network or infrastructure failures, or third-party service outages.
